1. Short title
Ordinance may be cited as the Transfer of Businesses (Protection
of

2. Interpretation
In this Ordinance, unless the context otherwise requires--

For the purposes of this Ordinance "transferor" and

3. Transferee of business to be liable for liabilities of trans-
feror
Subject to this Ordinance, whenever any business is transferred,
with
ithout the goodwill thereof, the transferee shall,
notwithstanding any

gations, including liability for tax charged or chargeable
under the

Notwithstanding subsection (1), where a part of a
business is

proceedings--

4. Circumstances in which the transferee's liability ceases
A transferee shall not become liable under section 3 if a
notice of
sfer has been given not more than 4 months, and not less than 1
month,

Where a notice of transfer has been given but the notice
has not
me complete at the date of transfer, the liability of the

Where proceedings are instituted, a notice of transfer shall

5. Contents of notice of transfer and manner of giving notice
Except in the case of a transfer by way of sale under or pursuant
to a
ge, a notice of transfer shall contain the following
particulars--
the full name and address of the transferor;
the nature of the business and the name or style under which, and
the
address at which, it has been carried on during the period

the date of transfer;
the full name and the residential and business addresses
of the
sferee;
if the transferee--
intends to carry on or is carrying on the business, the full
address
e, and the name and style under which, he is carrying it on or

is not carrying on the business and does not intend to carry it

a statement that at the expiration of 1 month after the date of
the
publication of the notice pursuant to subsection (3), the
liability
he transferee for all the debts and obligations arising out
of the
ying on of the business by the transferor shall cease by

Ordinance unless proceedings are instituted prior to such
expiration.
In the case of a transfer by way of sale under or pursuant
to a
ge, a notice of transfer shall contain the following
particulars--

6. Right of transferee to indemnity
The transferee shall be entitled to be indemnified--
by the transferor, except in the case of a transfer by way of
sale

by the charge-holder, if the transfer is by way of sale

all amounts for which the transferee is made liable
under this
nance and for which he would not otherwise be liable.
The amount of such an indemnity may be recovered by civil
proceedings

7. Liability of parties not affected

8. Limitation of liability of transferee
A transferee who in good faith and without preference has
paid in

The value of a business acquired by a transferee at the date on

9. Limitation of time for institution of proceedings

10. Saving
Ordinance shall not apply to any transferee where the transfer

by the Official Receiver or a trustee in bankruptcy;
by the liquidator of a company in liquidation other than
voluntary

by the Financial Secretary Incorporated; (Amended L. N. 369 of
1989)
by the Director of Education Incorporated;
by the Director of Social Welfare Incorporated;
by a person selling under or pursuant to a charge which has
been

by an executor or administrator; or
by operation of law.
11. Repeal and saving
The Fraudulent Transfers of Businesses Ordinance (Cap. 49, 1964
Ed.)

Notwithstanding subsection (1), the Fraudulent Transfers of
Businesses

to a

关于印发自治区人民政府驻外地办事处工作管理办法的通知
自治区人民政府各部门、各直属机构、各驻外办事处:
现将《关于加强自治区人民政府驻外地办事处制度建设管理办法》、《关于自治区人民政府驻外地办事处人事管理办法》、《关于自治区人民政府驻外地办事处国有资产及财务管理办法》(以下简称“三个管理办法”)印发你们,望认真贯彻执行,严格履行职责。
“三个管理办法”自下发之日起施行。《关于印发自治区人民政府驻外地办事处管理工作三个规定(试行)的通知》(新政办〔1997〕103号)同时废止。

关于自治区人民政府驻外地办事处
制度建设管理办法
为了加强对自治区人民政府各驻外办事处的管理,保证各项工作制度化、规范化、科学化,同时有利于各办事处创造性地开展工作,特作如下规定:
一、请示报告制度
各驻外地办事处对下列事项要及时向政府办公厅请示或报告。
(一)办事处内部机构和所属经营单位的变更及法定代表人(设立党组的按管理权限)的调整、使用问题。
(二)年度工作计划及总结。
(三)办事处建造办公、接待用房和职工宿舍以及其他用途的房屋基建、汽车等固定资产的购置、处理。
(四)重大财务开支和经营情况(详见资产及财务管理办法)。
(五)办事处主任(书记)离开驻地外出时间七天以上的。
(六)办事处流动户口申报及使用情况。
(七)凡涉及所有使用自治区人民政府、政府驻××办事处名义,与外单位或个人进行合作联营、成立联合体等,开展经济和其他活动的,须及时请示政府办公厅,经同意后方可办理有关事宜。
二、主任任期目标考核制度
办事处实行主任负责制和任期目标责任制。主任负责全面工作,副主任协助主任工作,按照办公厅干部任免权限,主任任期一届为四年,同一职务连任最长不得超过二届。上一级任免权限管理的干部,任职期满后,办公厅党组及时提出任免、轮岗建议。主任每年要向政府办公厅作述职报告并提交办事处工作总结。
对办事处主任任期内的考核,由政府办公厅组织实施,考核的主要内容和要求:
(一)办事处职能发挥情况,办事能力和实绩,包括:经济协作、联络服务工作情况;信息工作情况;办理政务和公务接待情况;完成政府交办任务等情况。
(二)国有资产保值增值情况;财务运行情况和执行财务纪律情况;所属单位经营管理和经济效益情况。
(三)执行各项规章制度情况;班子运行情况;规范化、制度化建设情况。
各办事处完成任务情况经考核记入办事处领导班子和主任任期内的政绩,并作为确定办事处目标管理和奖惩、使用干部的依据。
三、工作检查评比制度
办公厅对驻外地办事处及领导班子的工作,原则上每年进行一次检查和评比。检查评比工作由办公厅党组安排,办公厅人事处会同有关部门组织实施。各驻外地办事处对内设机构和事业单位,也要根据职责分工进行定期检查和考核。考核内容要明确公开,要有量化标准,努力把定量和定性考核结合起来。
四、会议制度
(一)驻外地办事处主任会议原则上每年召开一次,总结交流经验,研究部署工作。办公厅将根据需要安排一些业务片会和现场会,以推动工作。
(二)办事处主任办公会议集体研究决定办事处涉及人事、内部管理、职能发挥、经营决策等重要事项。对工作计划、年度总结、工作人员的聘用(解聘)、福利、人员调整和奖惩等由班子集体研究决定。对房屋基建、车辆购置(处置)、住房和流动户口使用、附属单位经营承包事宜和较大的财务开支等问题,要经过领导班子集体研究,并按有关规定办理报批手续。
五、办事处党、团、工会组织要按政府办公厅有关规定和驻地党、团组织的要求实施双重管理,抓好组织建设和作风建设,健全组织生活制度,搞好办事处廉政建设。办公厅纪检组(监察室)负责,督导办事处纪检监察工作;设立党组的办事处,要按纪检监察工作的要求,设立专(兼)职纪检监察人员。
关于自治区人民政府
驻外地办事处人事管理办法
为了使自治区人民政府驻外地办事处的干部人事管理工作进一步规范化、制度化,建立一支精干、高效、廉洁的工作队伍,真正担负起自治区人民政府赋予的各项职责任务,对办事处的人事、编制、工作、户口等问题实行科学管理,特作如下规定:
一、各办事处工作人员的配备,应严格按编制和职数配备。设党组的办事处,内设机构编制和职数调整,须报办公厅审批。对各类工作人员应依据不同工作岗位的要求,明确职责。
二、办公厅对办事处占行政编制的人员实行统一管理。占自收自支事业编制的人员原则上由办事处自行管理。
三、为办事处选调配备人员应坚持从工作需要出发,坚持亲属回避,不搞照顾性安排。
凡到办事处工作的干部,一般应有大专以上文化程度,在办公厅机关或事业单位工作,具有一定政策水平和独立工作能力,有较好的政治素质和业务素质,身体健康。
四、办事处行政编制的工作人员,原则上从政府办公厅系统内选用,其他人员一律聘用,签定聘用合同,并按有关法规及时交纳各类社会保险等费用。对于特殊岗位,办公厅系统内无法调剂的,由办事处报办公厅审查批准后,可以从办公厅系统外选调。
办事处主任、副主任、正副处级干部、办公室主任的配备、考察和任免,由办公厅党组决定。正科级及以下干部可由办事处按原任级别聘任并报办公厅备案(设立党组的办事处可自行聘任)。
五、办公厅对办事处主任的管理实行目标责任制,由党组根据目标实施情况进行考核。
六、办事处副处以上干部的培训,由办公厅统一安排。其他有关人员培训,按有关规定办理。
七、办事处主任、副主任、经营负责人、财务主管人员任期届满、离任或调离,应及时接受财务审计。
八、办事处行政编制内的工作人员调资、晋级、养老保险、医疗保险等工作,由办事处提出办理意见,办公厅人事处审核或报批。自收自支事业编制内人员的工资等待遇,由办事处按岗位需要聘用,福利等待遇按规定自行办理。办事处工作人员的考核奖惩问题,按人事管理权限和有关规定办理。
办事处工作人员的工资补贴、养老保险、医疗保险等有关待遇,严格按自治区有关规定执行。在当地自行招聘的非编制序列人员,按当地有关用工规定执行。
九、办事处每年的干部职工年报、工资计划、所属机构和科级领导配备情况,须及时报办公厅。
各办事处的流动户口指标和职工住宅要严格控制,合理使用。办事处的工作人员需落流动户口的由办事处提出方案,经办公厅人事部门审核后,报办公厅主管领导批准,办事处与当事人签署合同后再办有关手续,到期收回。凡调离办事处和离退休的人员,在办手续时,流动户口指标和住房要同时退出。
十、办事处作为新疆在内地的办事机构,为保证人员正常流动,不安置离退休人员。离退休人员由办公厅老干处统一管理,一般应从到期的第二个月起享受离退休人员待遇,办事处应及时做好工作衔接。
关于自治区人民政府驻外地办事处
国有资产及财务管理办法
为了加强自治区人民政府驻外办事处国有资产管理,维护资产的安全和完整,保证办事处的正常协调运转,提高资产使用效益,根据国家和自治区有关规定,并结合办事处实际情况,特作如下规定:
一、自治区人民政府驻外办事处(以下简称办事处)国有资产包括国家和自治区财政拨给的资产,单位按照国家、自治区的政策规定运用国有资产取得收入形成的,以及接受捐赠和其他经济法律确认为国家所有的财产。其表现为:流动资产、固定资产、对外投资、无形资产和其他资产。
二、办事处国有资产管理的主要任务是:建立和健全各项规章制度;明晰产权关系,实施产权管理;推动资产的合理配置和使用;对经营资产逐步实施统一管理和使用,并监督其实现保值增值;保证资产的安全和完整。
三、使用年限在一年以上,并在使用过程中保持原有实物形态的资产,包括建筑物、机器设备、运输设备及办公设备等,其中,专用设备单位价值在800元(含800元),一般设备单位价值在500元以上(含500元),以及单位价值虽未达到规定标准,但耐用时间在一年以上的大批同类资产,均为固定资产。但对于易损坏、更换频繁、低值易损耗品,可不作为固定资产。
四、办事处必须建立固定资产总账,对所占有、使用的固定资产按类别、分品种设置《固定资产明细账》,详细记载固定资产名称、规格型号、单价、收入、支出、结存的数量。
五、办事处要建立健全财务和公产管理制度。严格履行购买或处置审批制度。购买价值20000元以上,50000元以下的资产,由办事处主任办公会议研究确定,并按国家规定的政府采购制度执行,报办公厅备案;在上述限额内使用预算外资金购置固定资产也必须报办公厅备案;购买价值50000元以上资产的(含50000元),须报办公厅批准,方可实施。固定资产的报损报废,必须由办事处出具书面申请,说明情况原因,并由专业机构做出技术鉴定。报损报废的固定资产,报办公厅审核批准后核销。对未到报损报废年限、正在使用的固定资产的转让或变卖出售,必须报办公厅审核批准。
六、经批准核销或转让、变卖的固定资产变价收入,由办事处财务作帐,作为办事处更新改造资金,不得挪作它用。
七、办事处必须对占有、使用的固定资产定期进行自查、清点、核对,有短缺和损失,要及时查明原因提出处理意见并报办公厅。
八、办事处必须严格执行国家和自治区的各项财务规章制度,配备具有任职资格的专职财务和公产管理工作人员,加强对财务和公产管理岗位人员的监督、教育和管理,提高其业务素质。
九、办事处要加强对预算内行政经费开支和预算外资金的管理。办公厅及所属单位的预算内、外资金应实行收支两条线管理,不得座收座支,不得私设小金库,严禁公款私存。
十、办事处所属事业单位和经营性企业单位,可以实行承包责任制或组建有限责任公司等多种形式开展经营,按照现代企业制度进行管理,坚持合法经营,实行独立核算。不得以办事处名义进行经营活动。
十一、办事处工作人员在调离办事处时,应办理工作期间所使用的各类固定资产的移交手续,避免固定资产流失。
十二、办事处必须按财务规定,及时向办公厅报送清产核资报表,预算内、预算外财务预、决算报表和专项经费使用情况。接受办公厅和自治区财政、审计等部门的指导、监督、检查和审计。
办事处可根据本办法制定本单位的财务、固定资产管理办法报办公厅备案。
十三、政府办公厅将参照新政办〔2001〕126号《新疆维吾尔自治区国有资本保值增值考核试行办法》,对办事处国有资产使用情况进行考核。对国有资产保值增值工作做得突出的,给予奖励,对违反国有资产管理规定,因失职、渎职造成国有资产损失的,追究当事人及办事处领导的责任,并根据具体情况作出经济的、行政的惩处,触犯刑律的,移交司法部门依法追究其刑事责任。
